Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and [LEGAL ENTITY] ("Maneku," "we," "us," or "our") governing your use of the Maneku desktop application, website, and related services (together, the "Service"). Please read them carefully.

1. Acceptance of these terms

By downloading, installing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The service

Maneku is a desktop application that joins online recording and conferencing rooms (such as Descript, Riverside, and Restream) as an AI co-host participant. Once present, it can listen to the conversation, generate spoken responses when you summon it, and produce a session transcript and related session data on your device.

Maneku is a tool that you operate and control. You decide which rooms it joins, when it speaks, and what reference material it is given. We do not host your podcast, and we are not a party to your recordings or to your relationship with the platforms you record on.

3. Eligibility & accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. If you create an account, you are responsible for keeping your credentials secure and for all activity under your account. You agree to provide accurate information and to keep it current.

4. Plans: bring-your-own-key & credits

Maneku offers two ways to access AI features, and your responsibilities differ by plan.

Bring-your-own-key (BYOK)

On a BYOK plan, you supply your own API keys for third-party providers (for example, Anthropic for language responses, Groq for transcription, and optionally ElevenLabs for voice). You acknowledge and agree that:

• You are solely responsible for obtaining, securing, and maintaining your own provider accounts and API keys.
• You are solely responsible for all usage, fees, and charges billed by those providers as a result of your use of the Service.
• Your use of each provider is governed by that provider's own terms and policies, which you agree to comply with.
• Maneku stores your keys locally on your device and does not transmit them to our servers.

Credit plans

On a credit plan, you do not supply provider keys. Instead, you purchase credits from Maneku, and we make the underlying AI provider calls on your behalf using our own keys; each summon consumes credits at the rates shown in the app. You acknowledge and agree that:

• Credits are required to use AI features on this plan, and summons stop when your balance is exhausted.
• Credit pricing, the credit cost of each summon type, and any expiry apply as presented at purchase and in the app, and may change prospectively.
• Except where required by law, purchased credits are non-refundable and have no cash value. [CONFIRM refund/expiry policy]

Under both plans, Maneku does not control third-party provider pricing, availability, rate limits, or model behavior. See the Privacy Policy for how data is handled on each plan.

5. Third-party services

The Service interoperates with third-party platforms and providers, including AI providers (Anthropic, ElevenLabs, Groq), recording platforms (such as Descript, Riverside, Restream, and others), authentication and sync infrastructure (Supabase), and content sources you choose to add (such as web articles or video transcripts). We do not control these third parties and are not responsible for their services, availability, terms, or acts. Your use of any third-party platform is between you and that platform, and you are responsible for complying with its terms — including any rules about automated participants or bots.

6. AI output & no reliance

The co-host's responses are generated by third-party AI models. AI output may be inaccurate, incomplete, outdated, or misleading, and may not reflect the views of Maneku. You are responsible for reviewing the co-host's output and for anything it says on your show. Do not rely on AI output as professional, legal, medical, financial, or other advice. You use AI features at your own risk.

7. Recording, consent & disclosure

You are solely responsible for complying with all laws that apply to recording, transcribing, and processing conversations — including wiretapping, eavesdropping, and "one-party" vs. "all-party" consent laws, which vary by jurisdiction. Because Maneku listens to and transcribes room audio, you agree to obtain any consent required and to disclose the presence of the AI co-host to participants. 8. Acceptable use

You agree not to use the Service to:

• Break the law, infringe others' rights, or violate any third-party platform's terms;
• Record, transcribe, or surveil people without any legally required consent;
• Generate or distribute unlawful, harassing, defamatory, deceptive, or harmful content, or impersonate a real person without authorization;
• Reverse engineer, decompile, or attempt to extract source code except to the extent this restriction is prohibited by law;
• Resell, sublicense, or provide the Service to third parties except as expressly permitted;
• Interfere with or disrupt the Service or attempt to gain unauthorized access to it.

9. Payment & billing

Paid plans (including subscriptions and prepaid credits) are billed through our payment processor. The price, billing cycle, credit amounts, and refund/expiry terms are presented to you at purchase and are incorporated into these Terms. You authorize us and our payment processor to charge your selected payment method for the plan you choose, including recurring charges for subscriptions until you cancel. Fees charged by your own third-party AI providers under the BYOK plan are separate and are always your responsibility. [CONFIRM refund / credit-expiry / cancellation policy before go-live]

10. Intellectual property

The Service, including its software, design, and branding, is owned by Maneku and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms. You retain ownership of your own content — your recordings, transcripts, personas, notes, and reference materials. You grant us only the limited rights needed to operate the Service for you (for example, to sync data you choose to back up).

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. Provisions that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and indemnification) will survive.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANEKU AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR PROVIDER FEES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE [12] MONTHS BEFORE THE CLAIM, OR (B) [USD 100]. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless Maneku and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any law or third-party right — including recording/consent laws and third-party platform terms.

15. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you (for example, by updating the date above or notifying you in the app). Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing law
